Outputs may contain inaccuracies, distortions, artifacts or unexpected results.

The Services are intended as a visualization and shopping-assistance technology.

Outputs are not guaranteed to accurately represent:

7. CUSTOMER CONTENT AND END USER CONTENT

7.1. Ownership

As between JUUN and Customer, Customer retains its rights in Customer Content.

As between JUUN and an End User, the End User retains any rights they have in End User Content.

Nothing in this Agreement transfers ownership of Customer Content or End User Content to JUUN.

8. PRIVACY AND PERSONAL DATA

8.1. Separate Privacy Documentation

Use of the Services is also subject to JUUN’s Privacy Policy, available at:

https://tryonwidget.com/privacy-policy

The Privacy Policy forms part of the contractual framework governing the Services to the extent applicable.

8.2. Customer Responsibility

Customer is responsible for determining its obligations under applicable privacy and data protection laws and for providing appropriate privacy notices to End Users.

8.3. Photographs and Images

Customer acknowledges that photographs submitted for virtual try-on may constitute personal information or personal data under applicable law.

Customer must not submit photographs or other personal information unless Customer has a lawful basis and all required permissions to do so.

8.4. Biometric Information

Customer must not configure or use the Services to create, collect, infer, store or use biometric identifiers or biometric information for the purpose of uniquely identifying an individual unless JUUN has expressly agreed to such processing in writing and the parties have implemented all legally required safeguards and contractual documentation.

8.5. Data Processing Addendum

Where required by applicable law, the parties will enter into a separate Data Processing Addendum (“DPA”) governing processing of personal data on behalf of Customer.

If a DPA applies, it shall prevail over this Agreement to the extent of a direct conflict concerning processing of personal data.

8.6. Security

JUUN will maintain reasonable technical and organizational measures designed to protect the Services against unauthorized access, destruction, loss, alteration or disclosure.

No method of transmission or storage is completely secure, and JUUN cannot guarantee absolute security.

9. THIRD-PARTY SERVICES

The Services may depend on or interact with Third-Party Services, including cloud infrastructure, AI models, image-processing technology, hosting providers, payment processors, analytics providers and other technology providers.

JUUN may change Third-Party Services where reasonably necessary to operate or improve the Platform.

JUUN is not responsible for failures caused solely by a Third-Party Service outside JUUN’s reasonable control, provided that JUUN will use commercially reasonable efforts to restore or replace affected functionality where reasonably practicable.

10. FEES, CREDITS AND PAYMENT

10.1. Pricing

Fees, pricing models, usage rates and available plans are displayed on the applicable pricing page or otherwise communicated to Customer.

Unless expressly stated otherwise, all fees are in United States dollars.

10.2. Prepaid Credits

Where the applicable plan operates on a prepaid basis, Customer purchases Credits in advance.

Credits are automatically deducted based on Customer’s actual use of chargeable Services.

10.3. Usage

A generation, image-processing request or other chargeable event may consume one or more Credits depending on the applicable pricing plan.

The applicable pricing displayed at the time of purchase or otherwise agreed in writing will govern.

10.4. Insufficient Balance

If Customer’s Credit balance reaches zero or falls below the required amount, JUUN may automatically suspend chargeable functionality until Customer purchases additional Credits.

10.5. Taxes

Fees do not include applicable sales, use, VAT, GST or similar taxes unless expressly stated otherwise.

Customer is responsible for applicable taxes arising from its purchase of the Services, except taxes imposed on JUUN’s net income.

10.6. Payment Processing

Payments may be processed by third-party payment providers.

Customer authorizes the applicable payment provider to charge the selected payment method for purchases and other amounts properly due under this Agreement.

10.7. Refunds

Except where required by applicable law or expressly stated in writing, purchases of Credits are non-refundable.

If a material technical failure results in Credits being consumed without a corresponding successful processing event, Customer may request an adjustment through customer support.

JUUN may, in its reasonable discretion, restore or credit affected usage.

10.8. Chargebacks

Customer must contact JUUN before initiating a payment dispute or chargeback concerning an amount it believes was incorrectly charged.

Unjustified chargebacks may result in suspension or termination of the Account.

11. CHANGES TO PRICING

JUUN may change pricing, introduce new pricing plans or modify usage rates.

Changes will apply prospectively.

Where Customer has prepaid Credits at the time of a pricing change, the purchased Credits will remain governed by the pricing applicable at the time of purchase unless otherwise expressly stated.

Continued use after a pricing change constitutes acceptance of the new pricing for future purchases or usage.

12. INTELLECTUAL PROPERTY

12.1. JUUN Intellectual Property

JUUN and its licensors own all rights, title and interest in and to:

  • (a) the Platform;

12.4. Marketing Opt-Out

Customer may withdraw permission for use of its name or logo in JUUN’s customer lists or marketing materials by contacting JUUN at the support address identified on the Platform.

Withdrawal will apply prospectively and will not require JUUN to recall previously distributed materials.

12.5. Feedback

If Customer or an End User provides suggestions, ideas, recommendations or other feedback regarding the Services, JUUN may use that feedback without restriction or compensation, provided that JUUN does not disclose Customer’s confidential information in doing so.

13. OWNERSHIP AND USE OF OUTPUTS

13.1. Customer Use

Subject to this Agreement, Customer may use Outputs generated from Customer Content for Customer’s lawful commercial purposes.

13.2. No Guarantee of Exclusive Rights

Customer acknowledges that AI-generated Outputs may not qualify for copyright protection or other intellectual property protection in every jurisdiction and that third parties may independently generate similar or identical Outputs.

JUUN does not guarantee that any Output is protectable by copyright or other intellectual property rights.

13.3. Third-Party Rights

Customer is responsible for ensuring that its use, publication and commercial exploitation of Inputs and Outputs does not infringe third-party rights.

13.4. No Training Rights Granted

Unless separately agreed in writing, Customer does not grant JUUN a general license to use Customer Content for training a general-purpose AI model.

Any use of Customer Content for model training or product improvement beyond providing the Services must be expressly addressed in the applicable privacy documentation, DPA or written agreement.

14. CONFIDENTIALITY

Each party may receive confidential information from the other party.

The receiving party must:

  • (a) use confidential information only for purposes of performing or exercising rights under this Agreement;
  • (b) protect confidential information using reasonable measures; and
  • (c) disclose confidential information only to personnel, professional advisers and service providers who need to know it and are bound by confidentiality obligations.

Confidential information does not include information that:

  • (a) is publicly available without breach of this Agreement;
  • (b) was lawfully known before disclosure;
  • (c) is independently developed without use of confidential information; or
  • (d) is lawfully obtained from a third party without confidentiality obligations.

A party may disclose confidential information where required by law, provided that, where legally permitted, it gives reasonable notice to the other party.

15. WARRANTIES

Each party represents that it has the authority to enter into and perform this Agreement.

15.2. Service Warranty

JUUN warrants that, during the applicable paid service period, the Services will materially conform to the applicable Documentation.

15.3. Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUUN DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT.

Nothing in this Agreement excludes or limits any warranty that cannot lawfully be excluded or limited under applicable law.

16. LIMITATION OF LIABILITY

16.1. Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, ANTICIPATED SAVINGS OR DATA, ARISING OUT OF OR RELATING TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16.2. Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUUN’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF:

  • (a) THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO JUUN FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • (b) USD $100.

JUUN will promptly notify Customer of a covered claim and will reasonably cooperate with Customer at Customer’s expense.

Customer may control the defense and settlement of the claim, provided that no settlement may impose liability or an admission of wrongdoing on JUUN without JUUN’s prior written consent.

18. JUUN INDEMNIFICATION

JUUN will defend Customer against a third-party claim alleging that Customer’s authorized use of the Services, excluding Customer Content and Third-Party Services, directly infringes a third party’s copyright, trademark or patent.

JUUN will, at its option:

  • (a) obtain the right for Customer to continue using the affected Services;
  • (b) modify or replace the affected Services so that they are no longer infringing; or
  • (c) terminate the affected Services and refund any prepaid fees attributable to the unused portion of the terminated Services.

JUUN has no obligation under this Section to the extent a claim results from:

  • (a) Customer Content;
  • (b) modifications not made by JUUN;
  • (c) use outside the scope of this Agreement;
  • (d) combination with products or services not supplied by JUUN where the infringement would not otherwise have occurred;
  • (e) Customer’s continued use after JUUN has provided a non-infringing alternative; or
  • (f) Third-Party Services.

This Section states JUUN’s entire liability for intellectual property infringement claims relating to the Services.

19. AVAILABILITY AND FORCE MAJEURE

JUUN will use commercially reasonable efforts to maintain availability of the Services.

The Services may be temporarily unavailable due to:

20.1. Termination by Customer

Customer may terminate its Account at any time by following the applicable cancellation procedure or contacting JUUN.

JUUN may terminate or suspend access immediately where reasonably necessary to prevent significant harm, fraud, security threats, unlawful conduct or infringement of third-party rights.

20.4. Effect of Termination

Upon termination:

  • (a) Customer’s license to access the Services ends;
  • (b) Customer must stop using the Services;
  • (c) unpaid amounts become immediately due; and

Following termination, JUUN may delete Customer data in accordance with its retention policies and applicable law.

Where a DPA applies, deletion or return of personal data will be governed by the DPA.

21. CHANGES TO THIS AGREEMENT

JUUN may update this Agreement from time to time.

For material changes, JUUN will provide reasonable notice by posting the updated Agreement on the Platform, notifying Customer through the Account, or using another reasonable method.

Unless a different effective date is stated, updated terms become effective upon publication.

If Customer does not agree to a material change, Customer’s sole remedy is to discontinue use of the affected Services and terminate the applicable Account.

Continued use of the Services after the effective date constitutes acceptance of the updated Agreement, to the extent permitted by applicable law.

22. EXPORT CONTROLS AND SANCTIONS

Customer represents and warrants that it will not use, export, re-export or make the Services available in violation of applicable export control, sanctions or trade laws.

Customer must not use the Services on behalf of persons or entities subject to applicable sanctions where such use would violate applicable law.

23. CHILDREN

The Services are not directed to children under the age of 13.

Customer must not knowingly permit children under 13 to submit photographs or other personal information to the Services.

Where applicable law establishes a higher minimum age for consent to processing of personal information, Customer must comply with that requirement.

Customer is responsible for implementing age-related safeguards appropriate to its use of the Services.

24. CONSUMER PROTECTION

Nothing in this Agreement is intended to exclude or restrict any mandatory consumer rights or protections that cannot lawfully be waived.

Where an End User uses the Services solely as part of a Customer’s retail or e-commerce experience, the Customer remains responsible for its own products, sales terms, pricing, refunds, returns, shipping, advertising and consumer-facing obligations.

JUUN does not sell, manufacture, ship or warrant the physical products displayed through the virtual try-on experience unless expressly agreed otherwise in writing.

Notices should be sent to the copyright contact designated by JUUN on the Platform.

JUUN may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.

26. GOVERNING LAW AND DISPUTE RESOLUTION

26.1. Governing Law

This Agreement and any dispute or claim arising out of or in connection with it shall be governed by the laws of England and Wales, without regard to conflict-of-laws principles.

26.2. Mandatory Local Laws

Nothing in this Agreement prevents a party from relying on mandatory rights or protections that cannot lawfully be waived under applicable law.

26.3. Business Disputes

For Customers acting in the course of business, the parties will first attempt in good faith to resolve any dispute through negotiations.

If a dispute cannot be resolved through negotiation, the courts of England and Wales shall have exclusive jurisdiction, unless the parties agree otherwise in writing.

26.4. Consumer Claims

Nothing in this Section deprives an End User who qualifies as a consumer under applicable mandatory law of any non-waivable right to bring a claim in a court or forum available under that law.

27. CLASS ACTION WAIVER AND JURY TRIAL WAIVER

27.1. Class and Representative Proceedings Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND JUUN AGREE THAT ANY CLAIM, DISPUTE OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SERVICES, OR THE RELATIONSHIP BETWEEN YOU AND JUUN SHALL BE BROUGHT SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, PARTICIPANT OR MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING.

UNLESS BOTH YOU AND JUUN EXPRESSLY AGREE OTHERWISE IN WRITING, NO COURT OR ARBITRATOR MAY CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE PERSON OR ENTITY OR OTHERWISE PRESIDE OVER ANY FORM OF REPRESENTATIVE, CLASS, COLLECTIVE OR MASS PROCEEDING.

27.2. Individual Relief Only

To the maximum extent permitted by applicable law, any relief awarded in connection with a claim may be awarded only to the individual party bringing that claim and only to the extent necessary to resolve that party’s individual claim.

27.3. Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND JUUN EACH KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING OR CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SERVICES, OR THE TRANSACTIONS CONTEMPLATED BY THIS AGREEMENT.

27.4. Severability of Waiver

If any portion of this Section is found to be unlawful, invalid or unenforceable, that portion shall be severed or modified to the minimum extent necessary, and the remaining provisions shall remain in effect to the fullest extent permitted by applicable law.

If the class, collective, mass or representative action waiver is found to be unenforceable with respect to a particular claim or proceeding, that claim or proceeding shall proceed only to the extent required by applicable law.

27.5. Consumer Rights

Nothing in this Section is intended to waive or limit any right that cannot lawfully be waived under applicable law.

Where applicable law prohibits or restricts the waiver of class, collective, representative or jury-trial rights, this Section shall apply only to the maximum extent permitted by that law.

JUUN may assign this Agreement to an affiliate or in connection with a merger, corporate reorganization, financing, acquisition or sale of all or substantially all of its assets.

30. NO PARTNERSHIP

Nothing in this Agreement creates a partnership, joint venture, agency, fiduciary relationship, franchise or employment relationship between the parties.

Neither party has authority to bind the other.

31. SEVERABILITY

If any provision of this Agreement is found to be invalid, unlawful or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible.

The remaining provisions will remain in full force and effect.

32. WAIVER

Failure to enforce any provision of this Agreement does not constitute a waiver of the right to enforce that provision later.

A waiver must be express and in writing.

33. ENTIRE AGREEMENT

This Agreement, together with any applicable Order Form, pricing terms, DPA, Privacy Policy and other documents expressly incorporated by reference, constitutes the entire agreement between JUUN and Customer regarding the Services.
